The McCarran-Ferguson Act allows the insurance industry to operate under a limited federal antitrust exemption, but only to the extent the particular conduct is regulated by state law. The federal antitrust laws prohibit all agreements which unreasonably interfere with free and open competition. Antitrust concerns are serious matters particularly in the area of price fixing. Price fixing is, per se, a violation of the federal antitrust laws. Restraint of trade, boycotts, and other specific activities continue to be prohibited. Most importantly, discussions in violation of antitrust laws are no less punishable if they take place outside of a teleconference/meeting room or in the social activities held in conjunction with meetings. Please remember that we are not to discuss topics such as pricing, market availability, or any other topic not covered by McCarran-Ferguson. If any violations come to your attention at any time during a teleconference/meeting, you are to report such violations to the Chairman of the Board of Directors. You are specifically referred to this organization's Antitrust Compliance Policy. Each of you have a copy of the policy and are requested to comply with it fully.
